Terms and Conditions – Referral Scheme (Terminal Rentals Promotion)

  1. This referral scheme is open to merchants who have (or who are applying to have) a terminal hire contract with takepayments and who, during the operation of the scheme, make an eligible referral of a new customer to takepayments.
  2. To be eligible as a referral under this scheme, the customer referred to takepayments must:
    1. be in business, trading in the United Kingdom;
    2. not be an existing customer of takepayments;
    3. have consented to the referrer passing their contact details to takepayments and to takepayments contacting them for the purposes of a potential new contract with takepayments;
    4. enter into a new contract with takepayments within three months of being contacted by takepayments;
    5. not terminate or cancel that contract within its first month;
    6. in connection with that contract, process transactions with a total value of at least £100 within one month of that contract being entered into.
  3. For each eligible referral made, the referrer will (save as provided in paragraph 11) be entitled to the Promotional Discount (set out below) in respect of the Rental Charges. ‘Rental Charges’ means the rental charges payable by the referrer to takepayments under an existing or new terminal hire contract between the referrer and takepayments.  No discount or waiver is available on any other fees or charges payable under any contract with takepayments.
  4. The ‘Promotional Discount’ means either:
    1. six months’ free Rental Charges, subject to a maximum of £25 per month (excluding VAT); or
    2. where the Rental Charges payable by the referrer exceed £25 per month, a discount of £25 per month (excluding VAT) against the Rental Charges, for six months.
  5. Where more than one eligible referral is made, the referrer will be entitled to the Promotional Discount on a cumulative basis (for example, where two eligible referrals are made, the referrer will be entitled to the Promotional Discount for a total period of twelve months).
  6. Where the referrer has more than one terminal hire contract with takepayments, the Promotional Discount shall be applied to the contract with the highest level of Rental Charges. If more than one contract has the same level of Rental Charges then takepayments will (at its discretion) select one contract to apply the Promotional Discount to.
  7. Where the Rental Charges payable by the referrer under an applicable contract exceed £25 per month, the Promotional Discount shall be applied by takepayments’ crediting £25 per month (excluding VAT) against the Rental Charges and the balance shall remain payable by the referrer.
  8. The Promotional Discount shall be applied with effect from the closest appropriate billing period (as determined by takepayments) following the date on which the new customer has processed transactions with a total value of at least £100 after entering into an eligible new contract with takepayments.
  9. If the referrer’s contract to which the Promotional Discount is applied terminates for any reason before the expiry of the period for which the Promotional Discount is applied, then there shall be no further entitlement to any Promotional Discount (except if the referrer has another eligible contract in force with takepayments, in which case the remaining Promotional Discount shall be applied to such other contract).
  10. There shall be no entitlement to all or part of the Promotional Discount if, in respect of any date when the Promotional Discount would otherwise be applied, the referrer has breached any of the terms and conditions (including non-payment of any applicable fees and charges) of any contract it has with takepayments (whether or not the contract to which the Promotional Discount is applied).
  11. If the referrer is applying for a new terminal hire contract with takepayments and has their associated application for merchant acquiring services declined by the acquiring bank for any reason, then, instead of the Promotional Discount, the referrer will be entitled to a £100 Love2Shop Gift Card e-voucher (“Voucher”) for each eligible referral made.
  1. Vouchers will be issued after the date on which the referred new customer has processed transactions with a total value of at least £100 after entering into an eligible new contract with takepayments. Up to 90 days should be allowed for the Voucher to be received.
  2. Vouchers will be sent by email to the email address of the referrer held by takepayments at the time of the referral.
  3. The Vouchers are subject to the terms and conditions of the issuer (“Voucher Terms”), copies of which are available on request and can be accessed at http://www.l2sdigital.co.uk/termsandconditions.php. It is the sole responsibility of the referrer to comply with the Voucher Terms.  Pursuant to the Voucher Terms, various charges may be payable by the referrer in connection with the issue and use of the Voucher and some identification checks may be required before the Voucher can be used.  The Voucher will also have an expiry date, after which (in accordance with the Voucher Terms) it may not be possible to spend or redeem the Voucher.  takepayments accepts no responsibility or any liability for such charges or if the Vouchers become valueless or unusable for any reason after the date of issue.
  4. takepayments’ standard account opening procedures will apply to any new customer and acceptance of any new customer shall be at takepayments’ absolute discretion.
  5. The referrer will be liable to takepayments (and to the referred person) in the event that it passes any contact details to takepayments without having permission to do so.
  6. No cash alternative is available and the Promotional Discount (or Voucher, where applicable) is non-transferable.
  7. takepayments reserves the right to refuse to apply the Promotional Discount (or to provide the Voucher, where applicable) if it has reasonable grounds to believe that there has been a breach of these terms and conditions or any illegal or criminal activity (including fraud) has occurred in connection with this referral scheme.
  8. takepayments reserves the right to withdraw this referral scheme (or to amend the terms and conditions applicable to it) at any time for any reason. Any referrals (or contracts entered into with referred new customers) following the date of withdrawal of the scheme will not be eligible for the Promotional Discount (or any Voucher).
  9. This referral scheme will operate between 26th January 2023 and 31st December 2025 (inclusive).
  10. Any decision taken by takepayments in connection with this referral scheme shall be final and no correspondence will be entered into. These terms and conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
